Terms and Conditions for Online Auction

These Terms and Conditions of Front Row Auctions, LLC (these “Terms”) apply specifically to any and all online auctions conducted by Front Row Auctions, LLC (any of “Front Row”, “FRA” or the “Auctioneer”), and all post-auction activities related thereto such as payments on a winning bid (the or this “Auction”).

Important Auction Timeframes:

New bidders desiring to participate in the Auction must register with, and be approved by, the Auctioneer before being able to bid. Bidders must be approved at least 12hrs prior to the start of extended bidding in the Auction in order to bid in the Auction.
Initial bids in the Auction must be placed prior to 10:00 PM ET on the Final Auction Day.

Bidder Consent: You consent to these Terms by registering to bid in, or by placing a bid in, the Auction. By making a payment to Front Row on a winning bid, you reaffirm your consent to the Terms. The Terms shall constitute the entire “Agreement” between Front Row(the auction operator), and you (“you” or “bidder”) regarding any bid or purchase you make or attempt to make in the Auction, and the Terms shall, in all events, supersede a conflict derived from any and all communications, which occur at any time, between Front Row or its representatives and you with respect to the Auction and the purchase of items offered at the Auction.

1. Bidder Eligibility
A. As a condition to participate in the Auction, you (i) consent to these Terms and agree to abide by them, and (ii) represent that you are at least 18 years of age, or older if the age of majority is higher in your jurisdiction of residence and have full capacity to consent to these terms. If you are bidding on behalf of an organization or individual as their authorized agent, you represent you have all necessary rights to agree to these Terms in their entirety on behalf of such entity or person, and you have disclosed to Front Row that you are acting as a disclosed agent on behalf of a principal. Moreover, no person shall be eligible to bid until they have (i) completed and submitted the registration stated in Section 2 below, including providing all information and documentation required by Front Row as a part of the registration process, and (ii) been approved to bid by Front Row.

B. To be able to bid in this Auction, Bidders must consent to the Terms prior to placing a bid in the Auction. Bidders in the Auction will be required to consent to these Terms either when they register for the Auction or prior to placing their first bid in the Auction. Front Row reserves the right to require you to re-acknowledge such consent at any time and your failure to do so may result in revocation of your ability to bid and/or forfeiture of the high bid by being an ineligible bidder.

2. Registration with Front Row Required/Front Row Account. To participate in this Auction, all bidders must be registered with Front Row. All bidders shall provide Front Row with their contact information, including e-mail, phone number, and valid mailing and billing addresses, as well as complete all requisite elements of their Front Row profile. No potential bidder is permitted to bid in an Auction until they have received approval from Front Row. Registration for an account requires your provide personal information to Front Row, which information is necessary for Front Row to administer the Auction, communicate regarding the Auction, fulfill any bids won, and operate as otherwise set forth in Front Row’s Privacy Policy found on www.FrontRowAuctions.com. A bidding account is not auction-specific; it will be associated with the bidder to which it is registered across all Front Row auctions.

Users are responsible for creating their own account passwords. Your e-mail address and your chosen password will serve as your login credentials to the Front Row auction platform. Protect the log-in credentials to your account and hold them in confidence. They should not be shared with anyone else. You (i.e., the account holder) are responsible for any activity that occurs under your account. Bidders shall place bids online by visiting www.FrontRowAuctions.com and follow the instructions found there. If your account is not in good standing (e.g., open balances due, failure to complete past payments due, engaged in collusion, or for any other reason in Front Row’s discretion), your account may be terminated and/or your ability to place bids in this Auction may be suspended.

As a condition for registration for an account with Front Row and to participate in this Auction, all new bidders will be required to submit to Front Row two (2) hobby references acceptable to Front Row and a valid mailing address for correspondence. These references will be fully vetted and confirmed by Front Row. Front Row has no liability or responsibility to a prospective bidder for initial bid delays due to reference confirmation. Moreover, as a condition to approving registration, Front Row may, in their sole discretion, require any or all of the following: proof of net worth sufficient to satisfy Front Row of your ability to honor your obligation(s) as a potential high bidder; the posting on file a valid credit card and Front Reserves the right automatically to charge the credit card on file for payment of any amounts due after the expiration of the 10-day Payment Period (discussed in Section 18), and/or; placement of a credit limit on a bidder’s account and/or request a good faith deposit be added to the account for the credit limit to be increased.

Front Row reserves the right in its sole discretion to refuse to register anyone for an account or as a bidder at all Front Row auctions or for a specific auction or to refuse to accept bids from anyone for any reason, at any time, without prior notice.

3. Operator of Online Auction. This Auction is operated and conducted by Front Row. This Auction is an online auction, and bidders can bid on Front Row’s website at www.FrontRowAuctions.com. Limited interaction in the Auction is also permitted by phone as described in the bid process terms that follow. Front Row’s timekeeping device is the official time-keeping device for this Auction and will determine priority of bids placed roughly at the same time and when timeframes in this Auction have been met. The Auction is primarily online. In some extended bidding circumstances, bids by phone and a callback service may be available, as described below, but most Auction interactions take place online and bidders should not rely on availability of phone requests to Front Row to bid. Front Row reserves the right to make exceptions for phone bids for long-standing customers who may not have or use a computer. Where a bidder has commenced bidding online, that bidder will be encouraged to continue engaging with the Auction online.

4. Binding Terms; Additional Terms. Any bidder who registers to participate in the Auction as a bidder, or bids in this Auction, agrees to be bound by and accepts these Terms. If you do not agree to any part of these Terms, do not bid in the Auction. These terms incorporate by reference the Website Terms of Use and Privacy Policy on www.FrontRowAuctions.com. In the event of any conflict between these Terms and the Website Terms of Use, as regards this Auction, these Terms will control.

5. Start of Auction. Bidding begins immediately upon the launch of the Auction on Front Row’s website. Front Row reserves the right to postpone or delay the Auction, for a reasonable period, due to any significant, relevant event, which in the sole discretion of Front Row, makes it inadvisable to hold the Auction as scheduled, without liability to any bidder, prospective bidder, consignor or anyone else. Preliminary bidding shall end at 10:00 PM EST on the Auction closing date. To bid on a lot after 10:00 PM EST/in Extended Bidding, a bidder must have placed a bid on that lot prior to 10:00 PM EST. No retractions of bids are permitted. Once a bid has been placed, it is binding and may not be retracted.

6. Closing of Auction. Initial bids may be placed at any time prior to 10:00 PM ET on the auction closing day.

30 MINUTE CLOSING RULE: BIDDERS MUST PLACE AN INITIAL BID ON A LOT BEFORE 10:00 PM EST ON THE AUCTION CLOSING DAY TO BE ELIGIBLE TO BID ON THAT LOT DURING THE EXTENDED BIDDING PERIOD, WHICHSTARTS AT 10:00 PM EST. IF YOU ARE THE ONLY BIDDER ON A GIVEN LOT AT 10:00 PM EST, THEN THAT LOT IS AUTOMATICALLY CLOSED AND YOU ARE DECLARED THE WINNER. IF THERE ARE NO BIDS ON A LOT AT 10:00 PM EST, THEN THAT LOT SHALL STAY OPEN TO ALL REGISTERED BIDDERS PER THE 30-MINUTE RULE. AT 10:00 PM EST, THE 30-MINUTE RULE STARTS AND EACH LOT WILL CLOSE INDIVIDUALLY AFTER THAT LOT GOES 30 MINUTES WITH NO NEW BIDS. WHENEVER A NEW BID IS PLACED, THE 30-MINUTE TIMER WILL BE RESET AND THE COUNTDOWN WILL RESTART. IF YOU ARE THE CURRENT HIGH BIDDER ON A LOT AND YOU CHANGE YOUR MAX (CEILING) BID AFTER 10:00 PM EST, THIS WILL NOT EXTEND THE BIDDING TIME; ONLY A BID PLACED BY ANOTHER BIDDER OR A HIGHER “STRAIGHT BID” PLACED BY THE CURRENT HIGH BIDDER WILL RESET THE ENDING TIME ON THAT LOT. THIS RULE PROVIDES ALL BIDDERS THE OPPORTUNITY TO BID ON THE LOTS THEY ARE ELIGIBLE FOR, WITHOUT GETTING OUTBID AT THE LAST MINUTE DUE TO TIME CONSTRAINTS.

BIDDERS NEED TO LOG IN AND WATCH THEIR ACCOUNT PAGE TO SEE THE STATUS OF THE LOTS THEY ARE BIDDING ON DURING EXTENDED BIDDING. WHILE FRONT ROW WILL ATTEMPT TO PROVIDE NOTICE, WE ARE NOT REQUIRED TO EMAIL OR OTHERWISE NOTIFY OUR BIDDERS IF THERE IS ANY CHANGE IN THE CLOSING PROCEDURE THAT DEVIATES FROM THE ABOVE. THE COMPANY IS NOT RESPONSIBLE IF AN INDIVIDUAL USER HAS UNSUBSCRIBED FROM FRONT ROW’S NOTIFICATION EMAILS AND THEREFORE DOES NOT RECEIVE ANY CLOSING UPDATE EMAILS. BE SURE TO REFRESH YOUR WEBPAGE TO HAVE THE ACTUAL UP-TO-DATE BIDDING INFORMATION PRESENT ON YOUR SCREEN.

A. Front Row recommends bidders to leave maximum bids to help avoid being outbid once extended bidding commences. A Bidder’s maximum bid is purely confidential; Front Row does not have access to maximum bids.

B. In the event of a service disruption, an act of God, or any other circumstance beyond the control of Front Row whatsoever, which the Auctioneer, in its sole determination and at its sole discretion, at any time decides makes it inadvisable to end the Auction as outlined above, the Auctioneer reserves the exclusive right to make a commercially reasonable effort to remedy the situation, including, but not limited to, extending the Auction for any amount of time that Front Row deems appropriate under the circumstances.

7. Minimum Bid Increments. Bids update in “real time” on the Auction website, and to top the current bid, you must conform to the next bidding increment. “Real time” is subject to normal delays on the Internet, including relating to one’s computer or device processing speed, internet connection speed, delays and interruptions, and other Internet connectivity issues beyond Front Row’s control. There are absolutely no exceptions to the minimum raise amounts.

All bids are subject to the buyer’s premium payable to Front Row as the auctioneer, applicable taxes, applicable shipping and handling fees, and any type-of-payment fees (if applicable), as described further below in these Terms.

8. Bids Not Revocable. No retractions of bids are permitted (whether bid request was online or by phone, subject to Front Row’s discretion), provided Front Row may decline to honor bids placed in violation of these Terms or in the enforcement of these Terms. Once a bid has been placed online, it may not be retracted by the bidder.

9. Bid Notifications. The Front Row auction platform is designed to present bidders with a confirmation model after each attempt to place a bid, thus creating a multi-layer authentication system for bidding. The Auction system should send bidders bid confirmations and outbid notices they can view in the online auction portal over the Internet and to the email address or mobile phone number (by text) associated with their account, depending on the setting(s) elected by the bidder. Front Row does not guarantee, represent, or warrant notices will be timely delivered or received. By way of example, an automated email confirmation or notice may not be received or may be delayed, including, but not limited to, the recipient’s computer or device settings, or disruptions in the internet service. Text notifications are dependent on the third-party carrier that supplies the user’s mobile device service and Front Row has no control over such service, its reliability, or speed. Standard messaging and data rates may apply.

10. Opening Bids and Reserve Amounts. Each lot in this Auction is accompanied by an opening bid (meaning a minimum bid amount). Occasionally certain lots may have confidential reserves placed on them by the consignor. This means that the lot will not be sold unless and until a bidder bids an amount equal to or greater than the reserve amount. A reserve is set by the consignor (not by Front Row) when the consignor determines they are unwilling to sell the lot unless at least the reserve amount is realized. In the event a lot has a confidential reserve, Front Row will post notification of the amount and existence of such reserve, provided that such notification may not post until the Auction is in progress and may post any time prior to the auction closing day’s conclusion at 10:00 PM ET that day. Front Row expects, but does not guarantee, that notice of the amount and existence of a reserve will be posted at least 24 hours before the Auction ends. If any lot has a confidential reserve posted as outlined above, Front Row may increase the current bid to the confidential reserve amount so that the next bid placed will meet the confidential reserve. While Front Row may, at one time and regardless of individual bid increments, increase the current bid to the reserve amount, Front Row will NOT place individual incremental bids, in a series of bids over time, on reserved items that appear to be real bids placed by other bidders. Please check back before the Auction’s Final Auction Day ending (i.e., prior to 10:00 PM ET that day) to see any applicable reserve. The absence of a stated reserve on a lot when the Auction commences and early in the Auction process should not be interpreted as there being no reserve applicable. Once the existence and amount of a lot’s reserve is posted, it will be clearly designated as subject to a reserve (or using similar language) on the lot’s individual auction pages. Once the existence and amount of the confidential reserve is posted, and until the reserve is met, the lot page will display “Reserve Not Met” or “Reserve Amount” directly underneath the current bid, which, again, Front Row may increase to the reserve amount. Bidders may continue to bid on such lots using all available bid increments. Once the confidential reserve is met, the status of the lot will change to “Reserve Met” on the lot’s online page. Reserve amounts may be available upon request unless the consignor has restricted disclosure.

11. Automatic Maximum Bids. Bidders may place automatic “Up To” or “Limit” bids. When placing such a bid, known as an “Autobid,” the bidder is instructing Front Row to bid on bidder’s behalf in the minimum increments for the applicable item up to, but not exceeding, a given limit (which limit may be increased multiple times while bidding remains open for the item). The bidding system will automatically execute Autobids instantly (in the applicable minimum increment up to the Autobid limit set by the bidder) after a competing bid has been placed, and the system will do so multiple times as needed against a competing bid until the Autobid limit is met. Autobids should be calculated in the proper bidding increments for the item being bid. Autobids are kept in strictest of confidence. Neither Front Row personnel, nor any other bidder, receive notice of the amount of the limit of the bidder’s bid or even that an “Up To” bid has been placed on a given lot while an auction is live. Internet bidders placing Autobids will be utilizing the Autobids bidding feature, which is private to the bidder. Offers to “top all other bids” are not accepted.

12. Buyer’s Premium Fee. A 20% buyer’s premium in consideration for Front Row’s services will be added to all winning bids. For example, should a bidder win a lot for $1,000, the actual cost will be $1,200 (plus postage, insurance and tax, if applicable). Notwithstanding the foregoing, Front Row shall charge a minimum Buyer’s Premium of $20.00 on every lot sold for less than $100, meaning every lot sold will be charged a minimum of a $20.00 Buyer’s Premium.

13. No Consignor Bids. Shill bidding will not be tolerated. Consignors are strictly prohibited from bidding on their own materials or having others secretly bid for them on their behalf in order to increase the sales price of an auction lot. If any consignor directly or indirectly bids on his own items at auction, Front Row reserves the right, at its sole discretion, at any time and without any warning, to remove any bids it suspects of being fraudulent or placed in consort with a consignor and to permanently ban such consignors and bidders from future Front Row auctions.

14. Employee Consignments and Employee Bids. Employees of Front Row (and Front Row itself) may consign their personal property or owned items to the Auction, provided they will be treated like any other consignor (including not being permitted to bid on their own lots), which means, among other things, they may not place bids on their consignments. Employees of Front Row (and Front Row itself) may bid on items consigned by others to the Auction, provided they will be treated like any other bidder. No exceptions.

15. Shipping and Handling Costs. Items will only ship once paid in full. Front Row will ship using the carrier or carriers of its election and subject to availability for the intended destination. Front Row will charge the winning bidder for shipping, handling, and insurance, which charge will be added to the invoice and must be paid along with the items won, applicable taxes, etc.

16. Sales Tax and International Duties. Maryland residents must pay 6.0% Maryland state sales tax or present a valid resale certificate. Applicable state sales tax will be collected for residents of, or any bidder who desires to ship their items to, Alabama, Arizona, Arkansas, California, Colorado, Connecticut, District of Columbia, Florida, Georgia, Idaho, Illinois, Indiana, Iowa, Kansas, Kentucky, Louisiana, Maine, Massachusetts, Michigan, Minnesota, Mississippi, Missouri, Nebraska, Nevada, New York, New Jersey, North Carolina, Ohio, Oklahoma, Pennsylvania, Rhode Island, South Carolina, South Dakota, Tennessee, Texas, Utah, Vermont, Virginia, Washington, West Virginia, and Wisconsin. Sales tax regulations are ever changing, and sales made within this Auction may require the collection of state sales or use tax post-auction in accordance with such regulations for states not listed above. If you are a resident of, or desire to have your items shipped to, a state not listed above, Front Row can provide an estimate of the tax due upon your request and we encourage you to contact your accountant for a complete understanding of the sales tax that would be due from you. All international taxes and duties are the responsibility of the buyer. Front Row will declare the full commercial value of any items shipped internationally and is not responsible for any charges, levies, taxes, imports, embargoes, delay relating to international shipments

17. ALL SALES ARE FINAL. No returns are accepted.

18. Payments. Payment in full is due in United States Dollars in immediately available funds within fourteen (14) calendar days of notification of lots won (the “Payment Period”). Payment in full means payment of the lot’s hammer price, plus the Front Row buyer’s premium fee, and applicable sales taxes, shipping and handling costs. Notifications and invoices will be sent by email. In addition to being sent invoices by email, bidders may access their complete invoices (including taxes, shipping and insurance) online within 72 hours of the Auction close by logging into their account on Front Row’s website and clicking “Invoices” in the “My Account” panel. Unless pre-approved by Front Row prior to bidding, all payments are due before the expiration of the Payment Period. Any lot not paid for, in full, within the Payment Period is subject to up to a 10% late-payment charge, which will be added to the invoice, and no lot will be released to the winning bidder unless and until the revised invoice is paid in full. Front Row may, at its option, charge to a bidder’s credit card the entire amount of an outstanding invoice due after the Payment Period. Moreover, Front Row may revoke the future bidding privileges of any bidder who has not paid in full sums due within the Payment Period. Front Row prefers payment via cashier’s checks, certified checks, money orders, or wire transfer; wiring instructions are available on request or may be stated on the invoice. Front Row also accepts payment by Zelle®, with electronic payment directed to Front Row Auctions LLC via Zelle. Front Row also accept personal checks, however, winning lots will be held until the check clears and the funds are collected by Front Row, which can take 5-10+ business days. With prior arrangement/consent, or in the case of a late payment, Front Row may accept payment by credit card, in which case a 4.0% processing fee shall be added to the amount due. Bitcoin and similar digital currency is not accepted. Shipment of items occurs as soon as possible after payment in full clears, usually within several days after the payment is deposited/initiated.

19. Failure to Pay. If a winning bidder does not pay their invoice, in full, within the Payment Period pursuant to Section 18 above, Front Row is entitled to charge the non-paying bidder up to a 10% late-payment charge, which will be added to the invoice, and no lot will be released to the winning bidder unless and until the revised invoice is paid in full. If the matter is not resolved and/or the invoice is not paid in full within a reasonable time, Front Row may, in addition to asserting all remedies available under these Terms, by law, or in equity, at its sole discretion, (i) sell the given item(s) to an underbidder (without notice to the non-paying bidder), (ii) reoffer the given lot(s) in a future auction, (iii) return the item(s) to the consignor upon the consignor’s request, (iv) purchase the item(s) itself and make appropriate payment to the consignor, (v) sell the item won by the bidder to a third party (without any liability to the bidder for such sale) to cover total amounts due to Front Row, and/or (vi) hold the defaulting bidder liable for the entire purchase price or any amount otherwise realized as a loss compared to the invoice. It is explicitly agreed that the non-paying winning bidder will be responsible for all losses, damages, expenses, and costs incurred by Front Row in the collection of auction proceeds, including and not limited to reasonable attorney fees. Non-paying bidders should also expect to have future bidding privileges revoked, and Front Row shall be authorized to notify other action houses of this revocation in its discretion, including if Front Row is asked for a hobby reference. Where a bidder fails to complete a payment in full and has posted a credit card to their account, Front Row may charge the credit card the entire amount outstanding and/or pursue other remedies available to it. Where a bidder fails to complete a payment in full and has a good faith deposit on their account, Front Row may use the deposit amount to offset the amounts outstanding and/or pursue other remedies available to it. If Front Row sells the item for less than what the bidder owes Front Row, Front Row retains a claim of non-payment against the bidder and all available remedies against the bidder are reserved to Front Row. If Front Row sells the item for more than what the bidder owes Front Row, Front Row has no obligation to make the difference available to the bidder and shall retain the additional proceeds. Front Row also reserves the right to charge a non-paying bidder Front Row’s costs of collection and legal expenses to enforce the bidder’s payment obligations under these Terms, which shall be deemed to be part of the bidder’s obligation to pay Front Row in full.

20. Transfer of Title. Title to any lot remains with the consignor or Front Row and shall not pass to the successful bidder until the lot is paid for in full (including applicable taxes, shipping and handling costs, and the buyer’s premium fee due to Front Row). All invoices must be paid in full before items from that invoice are shipped to the successful bidder unless other arrangements are made and agreed to in writing in advance with Front Row.

21. Item Descriptions, Errors, Disclaimers, and Viewing. Any item description statement made by Front Row is a statement of opinion and does not constitute a warranty or representation regarding the item. We invite you to call us to get a more accurate or detailed description, or to request a scan(s) of any lot in the Auction. Front Row cannot be responsible for the failure of any bidder to avail themselves of this option. Lots may also be available for viewing in person, by appointment and upon reasonable notice. While we as a firm perform due diligence to maintain the integrity of our auctions, we encourage bidders to use every resource available to them to draw their own conclusions. Any description of the items by Front Row is for the sole purpose of identifying the items for those bidders who do not have the opportunity to view the lots prior to bidding. No description of items is part of the basis of the bargain or creates a warranty that the goods will conform to the description. All measurements in a lot description are approximate. For informational purposes only, Front Row reserves the right to correct any errors that come to its attention at any time, but Front Row makes no guarantee that all errors will be observed and/or corrected. All sales are final once the applicable lot auction closes.

22. Authentication/Grading. Items that are noted as having been evaluated, authenticated, or graded by third parties are, without exception, sold “as is” without any express or implied warranty from Front Row. Front Row has not conducted any independent investigation or evaluation into the authentication or grading provided by those third parties. Bidders acknowledge and agree that every ticket, card, autograph or other item graded or authenticated by one third-party grading service may not receive exactly the same grade, or be considered authentic, by another third-party grading service or receive the same grade/authentication later in time. Accordingly, Front Row makes no guarantee or representation that grades and memorabilia and autograph authentication will cross between third-party authenticators. Or that the same grader/authenticator will later honor the status of the item as sold in the Auction. There will always be experts that will have differing opinions. In placing a bid on such items, the encapsulation, documentation, and/or letters supporting the opinion of authenticity that are noted in the description are explicitly deemed acceptable to the bidder. The bidder shall solely rely upon the warranties of the authentication provider issuing the letter or opinion, or on the warranties of the authentication provider of the bidder’s choice. Front Row shall not, in any way, be liable for any defect (either patent or latent) or controversy pertaining to or arising from any lot evaluated, authenticated, or graded by a third-party company; the buyer’s remedy, if any, shall be solely against such third party.

23. Third Party Information Disclaimer. All references to grading service “Population Reports” is as of the date the lot description was written. Population data discussed in a lot’s description only considers items certified by the authentication company responsible for the authentication of the described item and will not factor in other certified collectibles from other authenticators unless specifically noted. For example, references to “highest graded” and “one of two,” along with other similar statements, are to be interpreted as “highest graded” by the specific authenticator or “one of two” authenticated by the specific authenticator unless otherwise noted. Front Row is neither responsible for the accuracy of a grading service’s population report data, nor is it responsible for any error Front Row may make in a description pertaining to population. Population reports are publicly available and we highly encourage bidders to perform their own population-report due diligence. Upon request, Front Row is happy to provide links to and/or information on how to locate grading-company population reports. Also, Front Row is not responsible for any information whatsoever contained on a letter of authenticity, encapsulation “slab”, or any other informational collateral provided by a third-party as part of a lot. Similarly, Front Row is not responsible for any information contained on a third-party website, population report, article, narrative, or similar description of an item, even when that description exists on Front Row’s website as part of a lot’s description. Front Row simply cannot be held responsible for information and conclusions created and published by a third party.

24. No Third-Party Beneficiary. No third party may rely on any benefit of these Terms, and any rights and obligations established under these Terms are personal to the bidder and Front Row. The bidder may not make an assignment of its rights and obligations hereunder.

25. Amendments; Waivers. No employee of Front Row shall alter these Terms orally or in writing. Any amendment or waiver under these Terms by Front Row shall not be binding on Front Row unless authorized in writing and signed by a principal of Front Row. Front Row’s failure to enforce any right provided herein or to which it is entitled at law or equity will not constitute a waiver of that right or of any other rights to which it is entitled.

26. Applicable Law; Venue.

A. These Terms form a binding legal contract between you and Front Row with respect to their subject matter and will be governed under the internal laws of the State of Maryland, USA and shall for all purposes be governed by and construed in accordance with the laws of the State of Maryland, USA without regard to any other jurisdiction’s principles of conflicts- of-law.

B. Each bidder hereby submits to the exclusive jurisdiction of the courts of the State of Maryland sitting in Anne Arundel County, Maryland and the Federal District Court for the District of Maryland for the purposes of all legal proceedings arising out of or relating to these Terms or the transaction contemplated hereby. Each bidder hereby irrevocably waives, to the fullest extent permitted by applicable law, the right to a trial by jury, the right to bring a claim against Front Row as part of a class action, and indirect, consequential, special or punitive damages against Front Row, and any objection that they may now or hereafter have to laying of the venue of any such proceedings brought in such a court and any claim that any such proceeding brought in such a court has been brought in an inconvenient forum.

C. In the event Front Row takes or maintains any action to enforce its rights hereunder and prevails thereafter, the bidder shall reimburse Front Row for its costs and expenses incurred, including, without limitation, attorney’s fees and costs.

D. These Terms have been prepared in the English language, communications in connection with the Auction shall be in English, and all amounts for lots and due to Front Row are represented in United States Dollars. Front Row is headquartered in the United States and offers the Auction to a US audience. Any foreign bidder bids in the Auction at their own discretion and subject to any local laws applicable to them in their jurisdiction.

27. Severability. If any part of these Terms shall be held unenforceable, the remainder of the Terms shall nevertheless remain in full force and effect and, to the extent permissible under applicable law, such unenforceable provision or provisions shall be deemed revised to the minimum extent possible to permit enforcement of such provision on terms as near as possible to such provision as originally drafted.

28. No Warranties. Front Row is not the creator or manufacturer of items sold at auction and does not warrant them in any manner. Bidder acknowledges and agrees that the items are auctioned and sole without warranties or guarantees. FRONT ROW DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR USE AND/OR PARTICULAR PURPOSE. FRONT ROW MAKES NO WARRANTY AS TO THE AUTHENTICITY OF THE ITEMS AND DISCLAIMS ALL LIABILITY FOR COUNTERFEIT OR INFRINGING ITEMS. The online auction platform and auction catalog are provided “as is” with all faults and Front Row does not represent, warrant or guarantee that they will be error-free, that any errors brought to Front Row’s attention will be corrected, or that Front Row’s website will operate uninterrupted.

29. Limits on Liability.

A. In no event will the liability of Front Row exceed the purchase price paid for any lot. Any issue with any lot must be communicated to Front Row within seven (7) days of receipt of that item at the designated shipping address. After that time, Front Row will have paid consignors and failure to notify Front Row during the prescribed time will indicate acceptance of the item as is. Front Row accepts no responsibility for issues with items sent to third parties, such as vault providers, authenticators, or other recipients acting on behalf of buyer. In the event Front Row cannot deliver a lot as advertised or subsequently it is established that the lot lacks title, or other transfer or condition issue is claimed, Front Row’s liability shall be limited to rescission of sale and refund of purchase price; in no case shall Front Row’s maximum liability exceed the high bid on that lot, which bid shall be deemed for all purposes the value of the lot. After one (1) year has elapsed from the close of the Auction, Front Row’s maximum liability shall be limited to any commissions and fees Front Row earned on that lot.

B. FRONT ROW SHALL NOT UNDER ANY CIRCUMSTANCES BE LIABLE FOR SPECIAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING, WITHOUT LIMITATION, ANY LOST REVENUES, PROFITS, OR BUSINESS OF BIDDER OR ITS AGENTS, RESULTING FROM, ARISING OUT OF OR IN CONNECTION WITH, THE PURCHASE OF ANY ITEM OR FOR ANY FAILURE TO SELL ANY ITEM FOR ANY REASON, WHETHER OR NOT FRONT ROW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE MAXIMUM AMOUNT OF FRONT ROW’S CUMULATIVE LIABILITY FOR ANY LOSSES OR DAMAGES RECOVERABLE BY BIDDER WITH RESPECT TO AN ITEM WILL NOT EXCEED THE WINNING BID AMOUNT FOR THE ITEM.

30. Force Majeure. Front Row shall not be liable for any delay or for any consequence of any delay in the holding of the Auction, for any early termination of the Auction or consequences of early termination or for the delivery of any items, if such delay shall be due to acts of God, acts of terrorism, acts of a public enemy, changes in law, wars, floods, fires, storms, pandemics, epidemics, outbreaks, strikes, labor stoppages, lockouts, local or national emergencies, significant interruptions of transportation, freight embargoes or failures, exhaustion or unavailability on the open market of services necessary for the performance of any provision hereof, or the happening of any material and reasonably unforeseeable act, misfortune, or casualty by which performance hereunder is delayed or prevented. If any such delay occurs, then Front Row’s period for performing its obligations shall be extended as it may reasonably require to complete the performance of its obligation.
